مسؤولية المسير في الشركة التجارية

Abstract

تعد الشركة التجارية من مرتكزات القوة الاقتصادية لكل دولة ويشكل المسير فيها جهاز الإدارة والتسيير الذي يحوز سلطة اتخاذ القرارات المؤثرة في حسن واستمرارية الشركة، تقوم المسؤولية المدنية في مواجهة المسير، عند حياد هذا الأخير عن الصلاحيات المخولة له وعدم أداء مهامه والتي أنشأت الشركة من أجلها، فيرتب ذلك آثارا قانونية في مواجهة المسير تؤدي لرفع دعوى المسؤولية ضده، مما يفرض عليه واجب دفع التعويضات نتيجة مخالفاته، في حين أن المسؤولية الجزائية لمسير الشركة تقوم عند ارتكابه للجرائم أثناء تسيير الشركة سواء لحسابه ومصلحته الخاصة أو لحساب الشخص المعنوي الذي يسيره وهذا النوع من المسؤولية يقتضي نظاما قانونيا تتبين من خلاله شروط قيام المسؤولية الجزائية للمسير الذي يجسد إرادة الشركة كشخص معنوي، لكن هذا لا يمنع من متابعة الشخص المعنوي كذلك عن هذه الجرائم التي نص عليها المشرع الجزائري ضمانا لحماية الميدان الاقتصادي عن طريق تدخله بأحكام جزائية مناسبة. La société commerciale est l'un des piliers de la puissance économique de tout pays. Le gérant représente l'appareil administratif et de gestion ayant pouvoirs permettant de prendre les décisions affectant sur le bon fonctionnement et déroulement de la société. La responsabilité civile incombe au gérant s'il ne parvient pas à accomplir ses fonctions ou pour abus de pouvoirs lui sont attribués et pour lesquels la société a été créée. A cet effet, le gérant risque des poursuites judiciaires menant à introduire une instance à son encontre et le condamnant à payer des réparations pour avoir commis des infractions. Toutefois, la responsabilité pénale incombant au gérant de la société est constatée en commettant des infractions lors de la gestion de la société tant pour son propre compte que pour le compte d'une personne morale, tenant compte que cette responsabilité exige un statut juridique qui détermine les conditions de la responsabilité pénale incombant au gérant qui représente le pouvoir de la société comme étant personne morale. Ceci n'empêche de poursuivre la personne morale pour ces infractions que stipule le législateur algérien afin d'assurer la protection du secteur économique en prévoyant des dispositions pénales appropriées. Abstract: The commercial company is one of the pillars of the economic power of any country. The manager is the administrative system and management with powers to make decisions affecting the proper functioning and development of society. The civil liability is incumbent upon the manager if he fails to accomplish his duties or for abuse of powers conferred and for which the company was founded. To this end, the manager risk legal proceedings leading to institute proceedings against him and ordering him to pay reparations for having committed offenses. However, the criminal responsibility being incumbent upon the manager of the company is determined by committing certain offenses during the company's management both for its own account and on behalf of a legal person, considering that this responsibility requires a legal status that determines the conditions of criminal responsibility be incumbent upon the manager who represents the power of the company as legal person. This does not prevent pursuing the legal person for such offenses as stipulated in Algerian law to ensure the protection of the economic sector by providing appropriate criminal provisions.
