Abstract

الملخص شرط إعادة التفاوض كان وليد للممارسات العقدية بين المستثمرين ويعد ضمانة عقدية فرضتها ظروف وملابسات عقود الاستثمار الدولية، والذي يتم الاتفاق عليه من قبل المستثمر والدولة المضيفة ويدرجونه ضمن عقدهم وذلك لأنه يعد أسلوب من أساليب تحقق العدالة بين المتعاقدين، ويبرز ذلك من خلال دوره الوظيفي والذي يهدف إلى معالجة الآثار الضارة التي تلحق بأحد المتعاقدين، نتيجة لتغير ظروف تنفيذ عقد الاستثمار، والتي تؤدي إلى اختلال العقد وتجعل تنفيذ الالتزامات مرهقا ومسببا خسارة فادحة لأحد الطرفين أو كلاهما، فيتدخل شرط إعادة التفاوض لإعادة ضبط هذه الالتزامات ومن خلالها يتم إعادة التوازن للعقد، وهذا الدور يتجسد من خلال الآثار المترتبة عن إعمال إعادة التفاوض والذي ينتج عنها مراجعة العقد ومن هنا يتحقق التوازن والعدالة العقدية. Résumé L’obligation de renégociation est le résultat des pratiques du contrat entre les investisseurs et est une garantie contractuelle imposée par les circonstances des contrats d'investissement internationaux, ce qui est accepté par l'investisseur et l’état récepteur et lui incluent dans leur contrat, car il est un mode de vérification de la justice entre les entrepreneurs et met en évidence par rôle fonctionnel qui vise pour faire face aux effets négatifs subis par l'un des entrepreneurs, En raison de changement sur les conditions de la mise en œuvre du contrat d'investissement, ce qui conduit à la perte de l'équilibre du contrat et de faire la mise en œuvre des obligations inabordables et entraîner la perte d'une ou les deux parties, intervient l'obligation de révision pour la régulation de ces clauses, et le contrat alors est rééquilibré, et ce rôle est illustré par les effets de la mise en œuvre de la renégociation qui donne lieu à un examen du contrat et ici l'équilibre et la justice est atteint dans ce contrat. Abstract: The re-negotiation condition was created due to the contractual practices among the investors, it’s considered as a contractual guarantee that was imposed by the conditions and the circumstances of the international investment contract between the investor and the host country, its role is to create balance between the contractors by fixing the adverse that effects one of the contractors due to the changes in the Execution of an investment contract which causes a Contract Disruption could make the Implementation of commitments really hard causing a big losses to one or the two sides, So the re-negotiation condition is really necessary to fix this Commitment and recover the contract balance.
