Abstract

The aim of this study is to try to study international models of corporate governance and by comparing governance applications in the form external actor in the United States of America and France Representative internal model and identify the strengths and weaknesses of the two, and use it to determine the characteristics of governance in Algeria. The study concluded that form the external and internal governance are among the most important divisions of international applications for governance, nor is there a form optimized for corporate governance, so the back of the so-called rules, frameworks or evidence of governance, take the characteristics of the country concerned, and for Algeria was approached in terms of the properties to internal model due to the lack of dispersion in the ownership and control of the representatives of public bodies, workers, banks, etc. on the management of the institution. The division of Algerian institutions to public institutions and other special addition to the degree of dispersion of ownership, management methods and relationship of the parties related to the institution (supervisors) of the most important divisions that tells us to examine the application of the governance.
