الطبيعة القانونية لعقد الفرانشيز

Abstract

عالج هذا البحث موضوعا مهما على الصعيدين القانوني و الاقتصادي هو الطبيعة القانونية لعقد الفرانشيز ، و الذي جاء بمحاولة التفسير مضمون هذا العقد للوصول إلى الأحكام الواجبة التطبيق عليه أين تبين أن عقد الفرانشیز هو وسيلة من وسائل الاستثمار الحديثة التي أنشاها التعامل التجاري . كما سجلت بعد البحث نسبية التكييف لحرية التعاقد ، فبإرادة الأطراف خفض أو رفع الالتزامات ، غير أن المتفق عليه أن عقد الفرانشيز عقد مركب يجمع بين طياته خصائص العديد من العقود و التصرفات ، لكنه يستقل عنها ولا يمكن إضفاء طابع أي منها على هذا العقد ، كما أن هذا العقد يتمتع بخاصية الاستثمار الفكري ( المعرفة الفنية ) و الشبكة ، اللتان تسهمان في إبراز الطبيعة الخاصة للعقد ، دون أن يوجب ذلك تمتع عقد الفرانشيز بتشريع خاص ، بل يكفي تسميته في الباب الرابع من الكتاب الأول من القانون التجاري - الذي جاء بعنوان العقود التجارية - ونحن في هذا الصدد قدمنا بعض التوصيات آملين من المشرع الجزائري الأخذ بها ، للتأكد من عدم تعسف المانح في استغلال وضعية تبعية الممنوح الاقتصادية له ، و تكريسا لمبدأ حرية التجارة مع ضبطها دون عرقلتها، خدمة للاقتصاد الوطني

This research dealt with an important subject at the legal and economic level, namely, the legal nature of the Francais contract, which attempted to interpret the content of this contract to reach the provisions applicable to it Where it turns out that the franchise contract is one of the modern means of investment created by business dealings. In addition, it was agreed that the Franchise contract is a complex contract that combines the characteristics of many contracts and actions, but is independent of them and can not be assigned to any contract. This contract is characterized by the intellectual investment (the technical knowledge) and the network, which contribute to highlight the special nature of the contract, without requiring that the Franchise contract special legislation, but enough to be named in the fourth section of the first book of the Commercial Law - In this regard, we have made some recommendations Purgative of the Algerian legislature introduced, to ensure that no abuse of the grantor in the exploitation of the status of economic dependence granted to him, and to consecrate the principle of free trade with tuned without obstruction, the service of the national economy

La présente recherche traite d'un sujet d'une importante capitale des points de vue juridique et économique qui est la nature juridique du contrat de franchise lequel se propose d'expliquer le contenu du contrat pour parvenir aux dispositions qui lui seront applicables. Le contrat de franchise est un moyen d'investissement moderne qui procède des transactions commerciales. Il s'est noté après recherche le caractère relatif de l'adaptation de la liberté contractuelle. Par la volonté des parties , les obligations peuvent être augmentées ou diminuées. Mais, il est constant que le contrat de franchise est complexe: il renferme plusieurs caractéristiques communes aux autres contrats et actes . Il s'en dissocie et ne peut revêtir aucun de leurs caractères . Le contrat defranchise se distingue par le caractère d'investissement intellectuel (savoir faire) et le réseau lesquels participent à révéler sa propre nature sans pour autant que le contrat de franchise ait sa propre législation . Son nom au titre quatre du premier tome du code de commerce lui suffit, évoqué sous le titre des contrats de commerce. On a, à ce propos, préconisé quelques recommandations dont ont espère que le législateur algérien puisse les prendre en considération pour palier à l'abus par le franchiseur de la dépendance économique du franchisé , et consacrer le principe de liberté du commerce en la codifiant dans l'intérêt de l'économie nationale au lieu de l'entraver.
