الإطار القانوني لحماية المحل التجاري في التشريع الجزائري

Abstract

ملخص المحل التجاري مال منقول معنوي ذو صفة تجارية، يتكون من عناصر إلزامية وعناصر غير إلزامية أغلبها أقرّ لها المشرّع الجزائري حماية جزائية وحماية مدنية من خلال النصوص القانونية المنظّمة لها، وحماية هذه العناصر هي حماية أيضا للمحل التجاري، وباعتبار المحل التجاري ملكية معنوية قابل للتصرف فيه قانونا فرض المشرّع الجزائري شرط الشكلية لصحة التصرفات الواردة على المحل التجاري وليس لإثباتها فقط ذلك أنّ الشكلية هي آلية لتحقيق الحماية القانونية للمحل التجاري للحفاظ على قيمته المالية المعتبرة و الذي يعدّ ضمانا للدائنين وبالتالي تحقيق الائتمان التجاري، أمّا الحماية القانونية للمحل التجاري كمجموع مستقل عن العناصر المكوّنة له فهي راجعة للقواعد العامّة عن طريق دعوى المنافسة غير المشروعة مع الاحتكام للقانون رقم 04 ـ 02 المتعلق بالقواعد المطبقة على الممارسات التجارية . ودعوى المنافسة غير المشروعة تحتاج إلى تعديل قانوني و دراسة وتحليل فقهي كاف من أجل إضفاء مزيد من الحماية على المحل التجاري .

Résumé : Le local commercial est un bien mobile immatériel destiné au commerce, constitué d'éléments obligatoires et d'éléments non obligatoires, dont la plupart ont été protégés par le législateur algérien à travers une protection pénale et civile par des textes légaux qui le régissent. Le législateur algérien a imposé une condition formelle de validité des actions du local commercial en tant que propriété immatérielle soumise à la gestion légale parce que le formalisme est un mécanisme pour assurer la protection juridique de la boutique commerciale afin de préserver sa valeur financière considérable. Il est également une garantie pour les créanciers, et le crédit commercial. Quant à la protection juridique de la boutique commerciale en tant que groupe indépendant, elle tient aux règles générales à travers le procès pour concurrence déloyale avec les dispositions de la loi n ° 04-02 relative aux règles applicables aux pratiques commerciales. Le procès pour concurrence déloyale nécessite un amendement juridique et une étude et une analyse jurisprudentielle suffisante afin de donner plus de protection à l'entreprise

Abstract : The commercial store is an intangible movable property with a commercial character, consisting of compulsory elements and non-obligatory elements, most of which have been approved by the Algerian legislature as criminal protection and civil protection through the legal texts regulating it, and the protection of these elements is also a protection for the commercial shop, and considering the commercial store is a moral property that is legally disposable. The Algerian legislator imposed the formalism condition for the validity of the actions received on the commercial shop, not just to prove it, because formalism is a mechanism to achieve legal protection for the commercial shop to preserve its considerable financial value, which is a guarantee for creditors and thus to achieve commercial credit, as for the legal protection of the commercial shop as a group independent of the constituent elements. It is referred to the general rules through the unfair competition lawsuit with reference to Law No. 04-02 relating to the rules applicable to commercial practices. The lawsuit of unfair competition needs legal amendment and sufficient jurisprudential study and analysis to give more protection to the business
