Abstract

ملخص: تعد شركة المساهمة البسيطة ذات الشخص الوحيد من بين الشركات التجارية التي استحدثها المشرع بموجب القانون 22-09 المؤرخ في 05/05/2022 وذلك لكونها أداة فاعلة في تنمية الاستثمار وتطوير الاقتصاد المعرفي، ولقد حصرها المشرع بذلك على المؤسسات الناشئة دون سواها سعيا منه مواكبة التطورات الاقتصادية الراهنة ولتحسين مناخ الأعمال قصد إضفاء نوع من المرونة على إجراءات تأسيسها، وتعد بذلك خطوة من المشرع للخروج عن القواعد العامة في التأسيس التقليدي للشركات وإحلال الإرادة المنفردة بدل العقد في كل مرحلة من مراحل تأسيسها وإدارتها، ويعتبر توجه الدولة نحوهذه الخطوة الجريئة محاولة لتنمية المهارات الفردية والإبداعية في العمل المؤسساتي.

Résumé La société par actions simple unipersonnelle fait partie des sociétés commerciales introduites par le législateur dans le cadre de la loi 09-22 du 05/05/2022, parce qu’elle est un outil efficace pour développer l’investissement et développer l’économie de la connaissance. et l’amélioration du climat des affaires afin de donner une sorte d’assouplissement aux procédures d’établissement, et est ainsi considérée comme une étape par le législateur pour déroger aux règles générales dans l’établissement traditionnel des entreprises et remplacer la volonté individuelle au lieu du contrat à chaque étape de sa constitution et de sa gestion. L’approche de l’État vers cette étape audacieuse est une tentative de développer des compétences individuelles et créatives dans le travail institutionnel

Abstract: the individual simple joint-stock company is one of the commercial companies used by the legislature under Law 09/22 of 5/5/2022 as an effective tool in the development of investment and the knowledge economy.In doing so, the legislature has restricted it exclusively to rising foundations in an effort to cope with current economic developments, and to improve businesses, aimed at adding some flexibility to their founding procedures.This is a step from the legislators to get rid of the general rules in the traditional corporate establishment, and to adopt the individual administration rather than the contract to each stage of its establishment and management. The State's direction is the bold step to try to develop individual and freedom skills in the work of institutions
