التراضي في الصفقات المبرمة من طرف شركة سوناطراك بين مقتضيات الخصوصية التقنية و متطلبات الشفافية القانونية

Abstract

تُعالج هذه المذكرة إشكالية التوازن بين الخصوصية التقنية لقطاع المحروقات والشفافية القانونية في صفقات سوناطراك، مبرزةً إجراء "التراضي" كضرورة تشغيلية تفرضها الاحتكارات التكنولوجية وفقاً للقرار (E-025 R4). ولأن آليات الرقابة التقليدية تعاني من قصور البيروقراطية الورقية، تقترح الدراسة منصة (SONAERP) كنظام خبير قانوني يمنع المخالفات آلياً. وتخلص إلى أن الرقمنة الاستباقية وسلاسل التدقيق المشفرة تمثل الضمانة الأنجع لحماية المال العام واستمرارية الإنتاج الطاقوي.

This thesis explores the balance between the technical specificities of the hydrocarbon sector and legal transparency In Sonatrach’s contracts. It highlights “direct negotiation” as an operational necessity driven by technological monopolies under regulation (E-025 R4). Addressing the limitations of paper-based bureaucracy in traditional control committees, the study proposes the (SONAERP) platform as a legal expert system preventing compliance breaches. Ultimately, proactive digitalization and cryptographic audit trails offer the best guarantee for protecting public funds and ensuring continuous energy production.

Ce mémoire examine l’équilibre entre la spécificité technique du secteur des hydrocarbures et la transparence légale des marchés de Sonatrach. Il met en évidence le « gré à gré » comme nécessité opérationnelle imposée par les monopoles technologiques selon la directive (E-025 R4). Face aux limites de la bureaucratie papier des commissions de contrôle, l’étude propose la plateforme (SONAERP) comme système expert juridique bloquant automatiquement les infractions.
