Abstract: The Algerian public industrial enterprises have not stopped responding to environmental dynamics since 1982. They made several restructuring: organic, financial and industrial. These have caused a loss of competences by the moving of staff holding the knowledge and know-how without being able to transfer all this skills to anthers employees. This is due to absence of a process of learning within these companies. Moreover, reorganizations adopted since 1990 have created in these firms a lot of confusion by separating ownership of management. These adjustment formulas have multiplied agency relations. In this paper, we have used simultaneously the theory of skills and agency theory to explain the difficulties of public industrial enterprises in Algeria. We ended up with a result that the situation of these companies in their current environment and in the short term does not allow them to work in an economy based on knowledge. Their Organizational structure does not promote the development of skills and knowledge creation.
