الضوابط القانونية لإندماج الشركات

Abstract

تهدف دراسة الضوابط القانونية لإندماج الشركات التجارية، إلى إبراز هذه الصورة التي تعتبر أهم صور ظاهرة التركيز الاقتصادي في الحياة القانونية، وهذا من خلال توضيح المفهوم القانوني لهذه العملية وصورها وشروط تحققها وكيفية إنشاءها والآثار القانونية التي ترتب عنها . وهذا لأجل معرفة ما مدى اهتمام المشرع الجزائري بهذه الآلية التي تعد أهم الآليات القانونية لتركيز المشاريع الاقتصاديـة الصغيـرة منها و المتوسطة ، لاسيما وأن الجزائر تسعى لتبني نهج اقتصاد السوق.

L'objectif de cette étude est de mettre en exergue les contrôles juridiques dans le cas des fusions d'entreprises et de mettre en évidence la concentration économique dans le domaine juridique, et ce par la clarification des notions juridiques du processus, des formes et conditions de leurs créations ainsi que leurs conséquences sur le plan juridique. Ceci est dans le but d'illustrer l'intérêt porté par le législateur algérien à ce mécanisme, qui est considéré comme l'un des mécanismes juridiques importants dans les projets économiques petits et moyens, surtout que l'Algérie cherche à adopter une approche d'économie de marché.
