الملخص: إن عقود نقل التكنولوجيا لها طبيعة خاصة لما تحتويه من شروط تقييدية يمليها المورد (المانح) للتكنولوجيا متى وكيف شاء على المستورد (الممنوح له)، حيث تجعل ميزان القوة التفاوضي غير متكافئ فيختل بذلك، فتصبح هذه الشروط مقيدة للممنوح له وتعسفية في نفس الوقت، وحتى يستطيع هذا الأخير تدارك الوضع يتحتم عليه فسح المجال لأهل الاختصاص والخبرة أصحاب المعرفة القانونية لمثل هذه العقود بالدراسة والتحليل على مستوى الصعيدين التشريعي والتفاوضي، لأجل تعزيز الجانب التفاوضي للممنوح له هذه التكنولوجيا، لأن الأمور مدروسة مسبقا من جانب المورد لما يملكه من خبرة واسعة في إعداد مثل هذه العقود التي تمنحه الثروة والنفوذ والهيمنة على الدول النامية، وهو نوع من الاستعمار الجديد بمفاهيم متعددة كالعولمة مثلا. وللتصدي لمثل هذه الشروط يتحتم على الدول النامية المستوردة للتكنولوجيا أن تولي أهمية بالغة لمثل هذا النوع من العقود وتخصه بالدراسة وتجعل منه عقود مسماة .
