Abstract

الملخص: يعتبر عقد الفرنشيز وسيلة من وسائل الاستثمار الحديثة التي أنشاها التعامل التجاري ،إذ هو عقد يجمع بين طياته خصائص العديد من العقود ، لكنه يستقل عنها و لا يمكن إضفاء طابع أي منها على هذا العقد ، كما أنه يتمتع بخاصية الاستثمار الفكري و الشبكة اللتان تسهمان في إبراز طبيعته الخاصة ، كما يترتب عليه أثار بالنسبة للمانح و للممنوح له ، و ينتهي عقد الفرنشيز في طور تنفيذ إما بوفاة أحد الأطراف المتعاقدة او بتصفية الأمواله ، و ايضا ينقضي في حالة الفسخ و الابطال العقد،و ينتهي بانتهاء أجله سواء كان محدد المدة و غير محدد و بمجرد انقضاءه يترتب عليه أثار لكلا الطرفين العقد.

Résumé: Le contrat de franchise est considéré comme l'un des moyens modernes d'investissement établis par les accords commerciaux, car il s'agit d'un contrat qui combine les caractéristiques de nombreux contrats, mais il y reste indépendant, et il a aussi la caractéristique de l'investissement intellectuel et du réseau qui contribuent à mettre en évidence sa nature particulière, car il a des implications pour le concédant et le concessionnaire. Ainsi le contrat de franchise, en cours d'exécution, prend fin soit par le décès de l'un des cocontractants, soit par la liquidation de ses fonds, il expire également en cas de résiliation et d'annulation, et il prend fin à l'expiration de son terme, qu'il soit à durée déterminée ou indéterminée, et dès son expiration, il a des implications pour les deux parties du contrat.

Summary : The franchise contract is considered one of the modern means of investment established by commercial agreements, since it is a contract that combines the characteristics of many contracts, but it remains independent in them, and it also has the characteristic of intellectual investment and of the network which contribute to highlighting its particular nature, since it has implications for the licensor and the concessionaire. Thus, the franchise contract, in progress, ends either by the death of one of the contracting parties, or by the liquidation of its funds, it also expires in the event of termination and cancellation, and it ends the expiration of its term, whether fixed or indefinite, and upon its expiration, it has implications for both parties to the contract.
