Abstract

تعتبر اتفاقات المساهمين في شركة المساهمة اتفاقيات خطيّة تحفظ حقوق وواجبات المساهمين فيما يتعلّق بإدارة الشركة وتشغيلها والإشراف عليها وتحويلات الأسهم فيها. علاوة على ذلك تعتبر أحكام اتفاقية المساهمين (العامةوالخاصة) بمثابة خريطة طريق بين أطرافها كما يجب تطبيق هذه الأحكام على أطراف الاتفاقية إلى أقصى حد ممكن، فالشروط العامة تتعلق بصحة العقد وأما الخاصة بضرورة مراعاة مبادئ شركة المساهمة. ونجد أن هذهالاتفاقيات مختلفة ومتعددة وذلك بحسب المجال الذي تستعمل فيه سواءا كان ماليا متعلق بملكية الأسهم أو إداريا متعلق بجهة تسيير شركة المساهمة ومما لا شك فيه يجب على اتفاقية المساهمين المساعدة في إدارة الشؤون اليومية للكيان القانوني بطريقة آمنة دون أدنى مسؤولية على أي طرف.
