تتزايد أهمية الاستثمارات الأجنبية لقطاع المحروقات في التجارة الدولية سوآءا بالنسبة للدولة المتقدمة أو النامية صاحبة الثروات الطبيعية، ما دفع هذه الأخيرة إلى تشجيعها عن طريق إبرام عقود شراكة مع شركات أجنبية متخصصة بغية تحقيق التنمية والاستفادة من التكنولوجيا ، وتتسم هذه العقود بكونها ذات آجال طويلة وممتدة، يتم تنفيذها على فترات زمنية متعاقبة, فقد تنشأ في بدايتها في ظروف ملائمة لكن تطرأ صعوبات غير متوقعة من شأنها التأثير على استمراريتها مستقبلا, الأمر الذي يدفع الأطراف لمعالجة الاختلال التعاقدي والمالي الناتج عن متغيرات اقتصادية تحدث عند تنفيذ العقد, و التي قد ترجع في أسبابها لإجراءات متخذة من طرف الدولة كتغيير تشريعاتها الوطنية, أو لأسباب خارجة عن ارادتها كالقوة القاهرة والظروف الطارئة, ويتصف دور المحكم فيها بالقدرة والسرعة على رد الالتزام المرهق إلى الحد المعقول سوآءا بالزيادة أو النقصان حفاظا على استمرارية الروابط التعاقدية, أو بوقف العقد و تقدير التعويض المناسب.
