عقود التراخيص في مجال الملكية الصناعية

Abstract

تعد حقوق الملكية الصناعية من الركائز الأساسية للإقتصاد المعرفي لما توفره من حماية قانونية للمبتكرات الصناعية والعلامات التجارية والتصاميم، ونظرا لأهميتها المتزايدة، برزت الحاجة إلى وسائل قانونية تتيح استغلالها دون التخلي عنها نهائيا، ومن أبرز هذه الوسائل نجد عقود التراخيص التي تمكن المرخص من منح المرخص له حق استغلال الحق الصناعي وفق شروط معينة، دون انتقال الملكية. وتكتسي هذه العقود أهمية كبيرة بإعتبارها أداة فعالة لنقل التكنولوجيا وتعزيز الإستثمار والشراكات الإقتصادية، غير أنها تطرح في المقابل إشكالات قانونية تتعلق بطبعة الحقوق محل الترخيص، والحقوق والإلتزامات المتبادلة بين أطراف العقد، ومن هذا المنطق تهدف هذه الدراسة إلى تسليط الضوء على الاطار القانوني لعقود التراخيص في مجال حقوق الملكية الصناعية، من خلال دراسة طبيعة هذه الحقوق وخصائصها، وتحليل الأحكام القانونية التي تنظم العلاقة التعاقدية بين المرخص والمرخص له، وكذا التطرق الى التطبيقات العملية لهذه العقود بحسب نوع الحق الصناعي موضوع الاستغلال.

Les droits de propriété industrielle constituent un pilier fondamental de l’économie de la connaissance, offrant une protection juridique aux innovations industrielles, aux marques et aux dessins et modèles. Compte tenu de leur importance croissante, le besoin de moyens légaux pour les exploiter sans les abandonner définitivement est apparu. Parmi les moyens les plus importants figurent les contrats de licence, qui permettent au concédant d’accorder au licencié le droit d’exploiter le droit industriel sous certaines conditions, sans en transférer la propriété. Ces contrats sont d’une grande importance en tant qu’outil efficace de transfert de technologie et de promotion des investissements et des partenariats économiques. Toutefois, elles soulèvent également des questions juridiques liées à la nature des droits soumis à la licence et aux droits et obligations mutuels entre les parties au contrat. Dans cette perspective, cette étude vise à éclairer le cadre juridique des contrats de licence dans le domaine des droits de propriété industrielle, en examinant la nature et les caractéristiques de ces droits, en analysant les dispositions légales qui régissent la relation contractuelle entre le concédant et le licencié, et en abordant également les applications pratiques de ces contrats en fonction du type de droit industriel exploité.

Industrial property rights are a fundamental pillar of the knowledge economy, providing legal protection for industrial innovations, trademarks, and designs. Given their growing importance, the need for legal means to exploit them without relinquishing them permanently has emerged. Among the most prominent of these means are licensing contracts, which enable the licensor to grant the licensee the right to exploit the industrial right under certain conditions, without transferring ownership. These contracts are of great importance as an effective tool for technology transfer and promoting investment and economic partnerships. However, they also raise legal issues related to the nature of the rights subject to the license and the mutual rights and obligations between the parties to the contract. From this perspective, this study aims to shed light on the legal framework of licensing contracts in the field of industrial property rights by examining the nature and characteristics of these rights, analyzing the legal provisions regulating the contractual relationship between the licensor and the licensee, and addressing the practical applications of these contracts according to the type of industrial right being exploited. .
