السجل التجاري الإلكتروني وفقا للتشريع الجزائري

Abstract

أحدثت الثورة التكنولوجية تحولاً جذرياً في المرافق العامة، مما دفع الدول إلى تحديث أنظمة تقديم الخدمات عبر إنشاء خدمات إلكترونية بديلة عن التقليدية، وقد برزت التجارة الإلكترونية كأداة تسويقية محورية، وأصبح السجل الإلكتروني يفرض نفسه على الاقتصاديات العالمية، بما فيها العربية، وإدراكاً من الجزائر لأهمية الاندماج في الاقتصاد العالمي والانضمام إلى منظمة التجارة العالمية، تبنت المشرع الجزائري نظام السجل التجاري الإلكتروني، وذلك بتجريد السجل التقليدي من طبيعته المادية وإخضاعه للمعالجة الإلكترونية، بهدف تقليل الوقت والتكلفة، تجسد هذا التوجه في إصدار عدة نصوص قانونية، أبرزها الأمر رقم 13-06 المؤرخ في 23 جويلية 2013، والمرسوم التنفيذي 15-115، والأمر رقم 18-112، التي نظمت القيد الإلكتروني واستخراج الوثائق إلكترونياً، وتكتسب هذه الدراسة أهميتها من الدور المحوري للقيد الإلكتروني كالتزام قانوني وتجاري وإداري، ومن سعي المشرع الجزائري إلى رقمنة عمليات المركز الوطني للسجل التجاري لتقريب الإدارة من المواطن.

The technological revolution has brought about a radical transformation of public services, prompting states to modernize their service delivery systems by creating electronic services as alternatives to traditional ones. E-commerce has established itself as a central marketing tool, and the electronic register is now imposing itself on global economies, including Arab ones. Aware of the importance of integration into the global economy and of membership in the World Trade Organization, Algeria has adopted the electronic trade register system, digitizing the traditional register and subjecting it to electronic processing in order to reduce delays and costs. This direction was implemented through the adoption of several legal texts, including notably Ordinance No. 13-06 of July 23, 2013, Executive Decree No. 15-115, and Ordinance No. 18-112, which have governed electronic registration and the electronic issuance of documents. This study derives its importance from the central role of electronic registration as a legal, commercial, and administrative obligation, as well as from the desire of the Algerian legislator to digitize the operations of the National Center for the Trade Register in order to bring the administration closer to the citizen."

La révolution technologique a provoqué une transformation radicale des services publics, poussant les États à moderniser leurs systèmes de prestation de services en créant des services électroniques alternatifs aux services traditionnels. Le commerce électronique s’est imposé comme un outil marketing central, et le registre électronique s’impose désormais aux économies mondiales, y compris arabes. Consciente de l’importance de l’intégration dans l’économie mondiale et de l’adhésion à l’Organisation mondiale du commerce, l’Algérie a adopté le système du registre de commerce électronique, en dématérialisant le registre traditionnel et en le soumettant au traitement électronique, afin de réduire les délais et les coûts. Cette orientation s’est concrétisée par l’adoption de plusieurs textes juridiques, dont notamment l’ordonnance n° 13-06 du 23 juillet 2013, le décret exécutif n° 15-115, et l’ordonnance n° 18-112, qui ont encadré l’inscription électronique et la délivrance électronique des documents. Cette étude tire son importance du rôle central de l’inscription électronique en tant qu’obligation légale, commerciale et administrative, ainsi que de la volonté du législateur algérien de numériser les opérations du Centre national du registre de commerce pour rapprocher l’administration du citoyen.
